Terms of Service

Last updated: May 5, 2026. These Terms of Service govern your access to and use of NovaDataHub, a prepaid digital API plan service operated by AGNOVA Labs Inc.

Overview

This website and the related dashboard, APIs, documentation, tools, software, billing flows, and services are operated by AGNOVA Labs Inc. Throughout the site, the terms "NovaDataHub," "we," "us," and "our" refer to AGNOVA Labs Inc. The terms "you" and "your" refer to the person or entity accessing or using the Service.

By visiting novadatahub.com, creating an account, clicking to accept these Terms, purchasing or using a plan, generating an API key, accessing documentation, or using any part of the Service, you agree to be bound by these Terms, our Privacy Policy, our Refund Policy, and any additional terms or policies referenced by hyperlink. If you use the Service for a company or other organization, you represent that you are authorized to bind that organization, and that organization is responsible for your use.

Please read these Terms carefully. If you do not agree to all of these Terms, you may not access or use the Service. Any new feature, endpoint, product, API, data source, dashboard tool, documentation, or billing option we add will also be subject to these Terms unless we state otherwise.

Section 1 - Online Service Terms

By agreeing to these Terms, you represent that you are at least the age of majority in your jurisdiction and that you have legal capacity and authority to enter into these Terms. You may not use the Service for any unlawful, unauthorized, abusive, or prohibited purpose. You may not transmit viruses, worms, malware, destructive code, unauthorized scripts, or harmful instructions through or against the Service.

A breach or suspected breach of these Terms may result in immediate suspension or termination of your account, API keys, plan access, or Service access, with or without notice.

Section 2 - General Conditions

We reserve the right to refuse, limit, suspend, or terminate service to anyone for any reason at any time, to the maximum extent permitted by law. We may investigate account activity, API usage, billing activity, support requests, traffic patterns, or suspected abuse to protect the Service, our users, our providers, and our business.

You understand that your content and requests, excluding full payment card details handled by the applicable payment processor, may be transmitted over networks and may be adapted to meet technical requirements of connecting networks, devices, providers, data sources, or infrastructure. Payment card information is handled by the applicable payment processor and is not stored by us as full card numbers.

You agree not to reproduce, duplicate, copy, sell, resell, sublicense, lease, rent, distribute, make available, reverse engineer, exploit, or provide access to any portion of the Service, API, dashboard, documentation, account, API key, or related contact channel without our express written permission.

Headings are included for convenience only and do not limit or affect these Terms.

Section 3 - Accuracy, Completeness, and Timeliness of Information

Information made available through the Service may be incomplete, inaccurate, delayed, duplicated, unavailable, stale, localized, personalized, modified by third-party sources, or changed without notice. API results may include third-party content, public web content, rankings, snippets, ratings, prices, timestamps, sports scores, financial data, metadata, or other information we do not create or control.

The Service is provided for developer, data, research, and business workflow purposes. You should not rely on the Service as the sole basis for legal, financial, tax, compliance, investment, medical, safety, employment, credit, housing, insurance, or other high-impact decisions. Any reliance on the Service or API results is at your own risk.

We may modify, remove, update, or stop updating any information, data field, endpoint, documentation, page, feature, or source at any time, and we have no obligation to update information unless required by law.

Section 4 - Modifications to the Service and Prices

Prices, plan limits, quotas, rate limits, features, endpoints, data fields, data sources, prepaid plan periods, discounts, credits, free trials, overage rules, and availability are subject to change without notice, unless a separate written agreement signed by AGNOVA Labs Inc. states otherwise.

We reserve the right to modify, suspend, throttle, restrict, replace, or discontinue the Service, or any part of it, at any time. We will not be liable to you or any third party for any modification, price change, suspension, quota change, source change, endpoint change, data change, or discontinuance of the Service.

Section 5 - Products and Services

NovaDataHub sells prepaid digital API plan access and related online services. The Service is delivered electronically through account access, API keys, dashboard functionality, and API endpoints. There are no physical goods, shipping fees, or shipping destinations.

We reserve the right, but are not obligated, to limit sales, plan purchases, access, features, or API usage to any person, business, geographic region, jurisdiction, industry, or use case. We may exercise this right on a case-by-case basis. Any offer for a product or service is void where prohibited by law.

We do not warrant that the Service, API results, data, documentation, or any purchased plan will meet your expectations, solve your use case, satisfy third-party requirements, remain available, or be error-free.

Section 6 - Account, Billing, and Payment Information

You agree to provide current, complete, and accurate account, purchase, billing, tax, and contact information. You agree to promptly update your information, including email address and payment details, so we and our payment processor can complete transactions, activate or manage your plan access, send receipts or notices, and contact you as needed.

Paid plans are prepaid in USD for the monthly or yearly access period shown at checkout or in your account. Payments are processed by the payment processor we use at the time of purchase. NovaDataHub does not provide automatic renewal; you must purchase another plan period or extend access if you want continued paid access after the current prepaid period ends.

We may refuse, cancel, limit, or reverse an order, plan purchase, account, credit, or transaction if we believe it is fraudulent, abusive, unlawful, high-risk, unauthorized, made by a reseller or distributor, associated with chargeback risk, or inconsistent with these Terms.

Section 7 - API Keys, Quotas, and Usage Measurements

API keys are confidential credentials issued for your account only. You are responsible for protecting them and for all API calls, charges, overages, data requests, and activity associated with them. You may not publish, share publicly, transfer, resell, sublicense, or embed API keys in public client-side code unless we expressly allow it in writing.

We may rotate, revoke, throttle, suspend, limit, or disable API keys at any time to protect the Service, enforce plan limits, prevent abuse, respond to security risks, comply with law, or address payment issues. Usage measurements in our systems are authoritative for billing, quota, rate-limit, plan, and enforcement purposes.

Section 8 - Optional Tools and Third-Party Services

We may provide access to third-party tools, links, providers, infrastructure, data sources, payment processors, hosting services, email services, analytics services, or integrations that we do not control. Third-party tools and services are provided "as is" and "as available" without warranties, representations, conditions, or endorsements from us.

Your use of third-party tools, links, data sources, or services is entirely at your own risk and may be governed by separate terms, policies, fees, limits, or legal obligations. We are not responsible for third-party websites, content, outages, restrictions, policies, data changes, accuracy, security, privacy practices, or acts or omissions.

Section 9 - Third-Party Content, Data Sources, and Data Rights

API responses may include or describe third-party content or data. We do not grant you ownership of third-party content, and we do not represent that your use, storage, resale, publication, enrichment, transfer, or other processing of API results is lawful for your specific use case.

You are solely responsible for determining whether your use of the Service and API results complies with applicable laws, regulations, contracts, intellectual property rights, privacy rights, publicity rights, platform terms, data protection requirements, export controls, and industry rules.

Section 10 - Refund Policy

Refunds are governed by our Refund Policy. Unless required by law or expressly approved by us, refunds are generally not provided for consumed API usage, unused quota, unused time remaining in a prepaid access period, account misuse, violations of these Terms, or business decisions based on API results.

If we approve a refund, it will be returned to the original payment method through the applicable payment processor. Bank and card processing times vary and are outside our control.

Section 11 - Personal Information

Your submission of personal information through the website or Service is governed by our Privacy Policy. By using the Service, you acknowledge that we and our providers may process account information, billing metadata, usage data, support communications, logs, security signals, and other information needed to operate, secure, bill, support, and improve the Service.

Section 12 - Errors, Inaccuracies, and Omissions

Occasionally there may be information in the Service, dashboard, documentation, invoices, pricing pages, marketing pages, API responses, or related websites that contains errors, inaccuracies, omissions, bugs, incorrect pricing, incorrect descriptions, outdated availability, incorrect plan information, or inaccurate usage information. We reserve the right to correct errors, update information, cancel orders, adjust accounts, modify invoices, or suspend access if any information is inaccurate at any time, including after you submit an order or plan selection.

We undertake no obligation to update, amend, or clarify information except as required by law.

Section 13 - Prohibited Uses

In addition to other prohibitions in these Terms, you are prohibited from using the Service, website, API, dashboard, documentation, API keys, or API results:

  • For any unlawful, fraudulent, deceptive, harmful, abusive, harassing, defamatory, discriminatory, exploitative, or unauthorized purpose.
  • To violate or facilitate violation of any law, regulation, court order, contract, intellectual property right, privacy right, publicity right, platform rule, or third-party right.
  • To collect, process, infer, expose, sell, or transfer sensitive personal information in a way that violates applicable law or individual rights.
  • For credential theft, phishing, spam, malware, denial-of-service activity, unauthorized access, circumvention of security systems, surveillance, harassment, or cyber abuse.
  • To submit false or misleading information, impersonate another person or entity, or misrepresent your business, authority, billing details, or use case.
  • To upload, transmit, or execute malicious code or instructions that affect the Service, related websites, other websites, providers, or the Internet.
  • To interfere with, overload, probe, scan, benchmark for competitive purposes, bypass, or circumvent security, authentication, rate limits, usage controls, payment controls, or monitoring systems.
  • To reproduce, duplicate, harvest, copy, resell, sublicense, rent, lease, distribute, or commercially exploit the Service except as expressly permitted by us in writing.
  • To create legal, operational, reputational, security, financial, or compliance risk for AGNOVA Labs Inc., NovaDataHub, our providers, our users, or any third party.

We reserve the right to terminate, suspend, or restrict your use of the Service for violating or suspected violation of any prohibited use.

Section 14 - No Legal Shield, No Assumption of Customer Liability

Unlike some providers that may offer special legal coverage on selected plans, NovaDataHub does not provide any legal shield, indemnity, defense obligation, insurance coverage, compliance guarantee, or assumption of liability for your use of the Service or API results unless a separate written agreement signed by AGNOVA Labs Inc. expressly says otherwise.

You are solely responsible for your API requests, your use of API results, your customer-facing products, your data practices, your compliance obligations, and any claim arising from your use or misuse of the Service.

Section 15 - Disclaimer of Warranties; Limitation of Liability

We do not guarantee, represent, or warrant that your use of the Service will be uninterrupted, timely, secure, compliant, accurate, complete, current, lawful for your use case, or error-free. We do not warrant that API results will be accurate, reliable, complete, available, or suitable for your purpose.

You agree that we may remove, suspend, throttle, limit, or cancel the Service, or any part of it, for indefinite periods of time or permanently, with or without notice.

You expressly agree that your use of, or inability to use, the Service is at your sole risk. The Service and all products, APIs, documentation, data, dashboards, and outputs delivered through the Service are provided "as is" and "as available" without any representation, warranty, or condition of any kind, either express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, durability, accuracy, availability, security, or reliability.

In no case shall AGNOVA Labs Inc., NovaDataHub, or our directors, officers, employees, affiliates, agents, contractors, licensors, suppliers, service providers, subcontractors, or payment processors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, exemplary, enhanced, or consequential damages of any kind, including lost profits, lost revenue, lost savings, loss of data, replacement costs, business interruption, loss of goodwill, or similar damages, whether based in contract, tort, negligence, strict liability, statute, or otherwise, arising from your use of the Service, inability to use the Service, API results, third-party data, billing activity, account activity, or any product or service obtained through the Service, even if advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or related to the Service or these Terms will not exceed the greater of (a) the amount you paid to AGNOVA Labs Inc. for the Service during the three months before the event giving rise to the claim, or (b) USD $100. Some jurisdictions do not allow certain exclusions or limitations, so in those jurisdictions our liability is limited to the maximum extent permitted by law.

Section 16 - Indemnification

You agree to indemnify, defend, and hold harmless AGNOVA Labs Inc., NovaDataHub, and our parent companies, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, payment processors, and employees from and against any claim, demand, dispute, investigation, fine, penalty, damage, loss, liability, cost, or expense, including reasonable attorneys' fees, made by any third party or regulator due to or arising out of your breach of these Terms; your use or misuse of the Service; your API requests; your API results; your products, customers, or users; your data practices; your violation of law; your violation of third-party rights; your payment disputes or chargebacks; or any content, data, instructions, or information you submit to or process through the Service.

Section 17 - Severability

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall be enforceable to the fullest extent permitted by law, and the unenforceable portion shall be deemed severed from these Terms. The determination shall not affect the validity or enforceability of any remaining provisions.

Section 18 - Termination

The obligations and liabilities incurred before termination shall survive termination for all purposes. These Terms remain effective unless and until terminated by you or us. You may terminate these Terms by ceasing use of the Service and allowing any prepaid plan access to expire.

If, in our sole judgment, you fail or we suspect that you have failed to comply with any term or provision of these Terms, we may terminate, suspend, restrict, or deny access to your account, API keys, plan, or the Service at any time without notice. You remain liable for all amounts due up to and including the termination date.

Section 19 - Entire Agreement

These Terms and any policies or operating rules posted by us on this site or in respect to the Service constitute the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written. Our failure to exercise or enforce any right or provision shall not constitute a waiver of that right or provision. Any ambiguities shall not be construed against the drafting party.

Section 20 - Governing Law and Disputes

Unless mandatory law requires otherwise, these Terms and any separate agreements whereby we provide the Service shall be governed by and construed in accordance with the laws applicable to AGNOVA Labs Inc. at its principal place of business, without regard to conflict-of-law rules. To the maximum extent permitted by law, disputes must be brought on an individual basis and not as a class, consolidated, representative, or collective action.

We reserve the right, at our sole discretion, to update, change, or replace any part of these Terms by posting updates and changes to our website. It is your responsibility to check this page periodically. Your continued use of or access to the website or Service after changes are posted constitutes acceptance of those changes.

Section 22 - No SLA Guarantees Unless Separately Agreed

Unless a separate written agreement signed by AGNOVA Labs Inc. expressly provides an SLA, NovaDataHub does not provide any uptime, latency, delivery, data freshness, support response, credit, refund, or service-level guarantee. Any service credits, if offered, are discretionary and are your sole and exclusive remedy for the applicable service issue.

Section 23 - Marketing Materials

We may identify you or your company as a customer and may use your name, company name, and logo in customer lists, case studies, and marketing materials unless you request otherwise in writing. You may not use our name, logo, trademarks, or branding in a way that suggests endorsement, partnership, or sponsorship without our written permission.
